1. Scope
These Terms of Service apply to the use of the service Makler-Berater at makler-berater.de, provided by:

The service is intended exclusively for business customers (estate agents and companies), not for consumers within the meaning of the BGB (German Civil Code).
2. Service Description
Makler-Berater provides real estate agents with an AI-powered digital assistant that can be integrated into the agent's website. The assistant answers enquiries from property seekers, recommends matching properties from the agent's portfolio, and can capture contact details (leads).
Important note on AI: The recommendations of the AI assistant are automated suggestions and do not constitute purchase, rental, legal, or financial advice. The provider accepts no liability for the accuracy or completeness of AI outputs.
3. Contract Formation and Registration
A contract is formed by registering on the platform and confirming the email address. The Free plan is free of charge and unlimited in time. Paid plans (Pro, Enterprise) are activated by completing a payment process via Stripe.
4. Prices and Payment
Current prices are available on the website under “Pricing”.
Note — Small Business Exemption: Pursuant to § 19 UStG, VAT is currently not charged or shown on invoices. All stated prices are final prices. Should the small business exemption no longer apply, prices will be shown exclusive of statutory VAT.
Billing is monthly in advance via Stripe. Supported payment methods: credit card and SEPA direct debit. In the event of a failed payment, the provider reserves the right to restrict access to the paid plan.
5. Term, Auto-Renewal and Cancellation
Paid subscriptions automatically renew for the selected billing period (monthly or annually) unless cancelled before the end of the current period.
Paid plans can be cancelled at any time effective at the end of the current billing period. Cancellation is done via the dashboard under “Settings > Billing”.
After cancellation, the account is downgraded to the Free plan. Periods already paid for are not refunded unless the service was unavailable due to a fault of the provider.
As the service is exclusively directed at business users, there is no statutory right of withdrawal under §§ 312 et seq. BGB.
6. Data Ownership
All property data uploaded by the agent (listings, images, property data) remains the exclusive property of the agent. The provider uses this data solely for the purpose of delivering the contractually agreed service and does not share it with third parties. Upon termination, data will be deleted or exported in a standard format upon request.
7. User Obligations
The user is responsible for:
- The accuracy and currency of the uploaded property data.
- Compliance with data protection obligations towards their own customers when using the widget.
- The correct integration of the privacy notice on their website.
- Using the service solely within the scope of applicable laws.
8. Availability
The provider strives for availability of at least 99% on an annual average but cannot guarantee uninterrupted accessibility. Scheduled maintenance will be announced in advance where possible.
9. Liability
The provider is fully liable for intent and gross negligence. For slight negligence, the provider is only liable in the event of a breach of material contractual obligations (cardinal obligations), limited to the foreseeable, contractually typical damage.
The provider is not liable for damages caused by inaccurate, incomplete, or outdated property data provided by the user, or for transactions concluded on the basis of AI recommendations.
10. Final Provisions
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction, insofar as legally permissible, is Aachen. Should individual provisions of these Terms be invalid, the remainder of the contract shall remain in effect. The invalid provision shall be replaced by a valid provision that most closely reflects the commercial intent.
